OnPart: Locator Supplier Acknowledgement

These terms apply to your use of and participation in the OnPart parts locator service (“OnPart Locator Service”) which may display parts you and/or your system identifies as being available for sale to users of the OnPart Locator Service (each a “User”).

1. You grant us permission to list your parts listings. We may display your parts listings and contact information (“Parts Listings”) through the OnPart Locator Service. You grant us a non-exclusive, perpetual, irrevocable, transferable, sub-licensable, royalty-free, worldwide license to host, use, distribute, modify, run, copy, publicly perform, make available, display, translate, and create derivative works of the Part Listings.

2. You are responsible for your Parts Listings. You are solely responsible for the contents of your Parts Listings. You must ensure that all Parts Listings are true, accurate and complete at all times. You are solely responsible for setting the price of your parts.

3. Sales occur directly between you and a purchasing User. While we display your Parts Listings, all purchases of your parts occur directly between you and an applicable User. We are not a party to your sales transactions. You are responsible for disclosing to purchasing Users the applicable purchase price, taxes, warranties, shipping terms, return process and all other relevant terms or information or disclosures related to the parts being purchased.

4. Indemnification. You agree to indemnify and hold us harmless from and against any claims (including but not limited to claims for property damage, bodily injury or death, and to the extent permitted by law, claims based on our negligence), damages, losses and expenses of any kind (including reasonable legal fees and costs) (collectively, “Claims”) arising from or related to your participation in the OnPart Locator Service and the marketing and sale of parts.

5. General

A. We may modify or cease operating the OnPart Locator Service, with or without prior notice or liability to you.

B. Our failure to enforce any part of our terms or policies is not a waiver of our right to do so at a later date.

C. These terms do not create any partnership, joint venture, franchise, sales representative or agency relationship between you and us or an exclusive relationship between us.

D. We may change or update these terms at any time in our sole discretion. All amended terms will become effective immediately on the date posted unless we state otherwise, and will apply prospectively after such changes and updates become effective. Your continued use of the OnPart Locator Service constitutes acceptance of those changes and updates.

E. If any portion of these terms are found to be unenforceable, then (except as otherwise provided) that portion will be severed and the remaining portion will remain in full force and effect.

OnPart: Locator User Acknowledgement

These terms apply to your use of and participation in the OnPart parts locator service (“OnPart Locator Service”) which may display parts from various automotive parts suppliers (each a “Seller”).

1. Sales occur directly between you and a Seller. While we display parts listings provided by various sellers, all purchases of parts occur directly between you and the applicable seller. We are not a party to your purchase transactions and take no responsibility for the accuracy of the listings. You are responsible for understanding the part being purchased, the purchase price, taxes, warranties, shipping terms, return process and all other relevant terms or information or disclosures related to the parts you purchase from the applicable seller.

2. Data for internal use only. You may only access and use parts listing information for your own legitimate internal business purposes. You may not make the parts listing information available to any third party. You may not scrape, harvest, or otherwise attempt to use automated means to extract the parts listing information for any purpose.
